İşletmelerin sermaye yapısını güçlendirmek ve finansal sağlığını korumak adına başvurduğu yöntemlerden biri de iç kaynaklardan sermaye artırımıdır. Bu yöntem, şirketin mevcut öz kaynaklarını sermayeye ekleyerek sermayesini büyütmesini sağlar. Peki, bu sürecin detayları nelerdir ve vergi avantajları nasıl kullanılabilir? Haydi, adım adım inceleyelim.

1. İç Kaynaklardan Sermaye Artırımı Nedir?

İç kaynaklardan sermaye artırımı, şirketin dışarıdan fon sağlamaksızın, kendi kaynaklarından sermayesini artırması anlamına gelir. Bu kaynaklar genellikle şunlardır:

  • Geçmiş yıl karları
  • Yeniden değerleme artış fonları
  • Olağanüstü yedekler
  • Hisse senedi ihraç primleri
  • Yedek akçeler

2. Nasıl Yapılır?

  1. Genel Kurul Kararı: Şirket ortakları, iç kaynaklardan sermaye artırımı yapmaya karar verir.
  2. Bağımsız Denetim Raporu (Gerekli Durumlarda): Büyük şirketler için bazı hallerde denetim raporu gerekebilir.
  3. Sermaye Artışına İlişkin Esas Sözleşme Tadil Tasarısı: Sermaye artışına ilişkin esas sözleşmede güncellemeler yapılır.
  4. Ticaret Siciline Tescil ve İlan: Karar alındıktan sonra Ticaret Sicili’ne tescil ettirilir ve ilan edilir.
  5. Muhasebe Kayıtlarının Güncellenmesi: Sermaye artışı muhasebe kayıtlarına işlenerek bilançoda görünür hale getirilir.

3. Vergi Avantajları

İç kaynaklardan sermaye artırımının sağladığı vergi avantajları şunlardır:

1. Damga Vergisi Avantajı:

  • Sermaye artışı kararı için alınan genel kurul kararları damga vergisine tabi değildir.

2. Harç Avantajı:

  • Sermaye artırımında harç ödenmez. (Özellikle sermayenin tamamının iç kaynaklardan karşılandığı durumlarda.)

3. Vergi Matrahını Azaltma:

  • Kar yedeklerinin sermayeye eklenmesi, bu tutarların dağıtılabilir kar olarak görülmesini önler. Bu sayede kar dağıtımı vergisi ödenmez.

4. Kurumlar Vergisi Avantajı:

  • Yeniden değerleme fonlarının sermayeye eklenmesi durumunda kurumlar vergisi hesaplanmaz.

5. Sermaye Artışına Bağlı Olarak Yatırım Teşviki:

  • Bazı bölgelerde ve teşvike tabi işletmelerde, sermaye artırımı devlet desteklerinden yararlanmayı kolaylaştırabilir.

4. Sonuç: İç Kaynaklardan Sermaye Artırımı Mantıklı mı?
